Terms of Service

Introduction
Welcome to Obsidia ("we," "our," or "us"). By accessing or using our mobile application and related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
1. General Use
Obsidia is a peer-to-peer marketplace for buying and selling fragrances. The Platform is available in the United States only. By using the Platform, you represent that you are at least 18 years old, are located in the United States, and are capable of entering into legally binding agreements.
2. Accounts
You may create an account using email and password or Apple Sign-In (iOS). You must provide accurate, complete, and current information during registration and keep it updated.
- You are solely responsible for all activity under your account and for maintaining the confidentiality of your credentials
- You may not transfer, sell, or assign your account to any other person
- We may suspend or terminate accounts that violate these Terms, contain inaccurate information, or show signs of fraudulent activity
3. Selling on Obsidia
To sell on Obsidia, you must complete identity verification and payment onboarding through Stripe Connect.
- All listings must accurately describe the item, including brand, size, condition, and photos of the actual product
- Only authentic fragrances may be listed. Counterfeit, replica, or misrepresented products are strictly prohibited and will result in immediate account suspension
- Sellers must ship within 3 business days of payment and provide valid tracking
- Sellers may optionally provide authenticity photos (source bottle documentation) to earn an Authenticity badge on their listings
- US domestic ground shipping only — perfume is classified as hazardous material and may not be shipped by air
4. Fees & Payments
Platform Fee — 10%
Obsidia charges sellers a 10% platform fee on the sale price (subtotal) of each completed transaction. This fee is automatically deducted from the seller's payout.
Payment Processing — 2.9% + $0.30
Standard Stripe processing fees are passed through to the buyer as a separate, transparent line item at checkout. Additional fees may apply for non-US cards.
Shipping
Shipping costs are calculated dynamically based on package weight, dimensions, and destination. Buyers pay shipping at checkout. Sellers ship using the provided label.
- A platform minimum order value applies to all checkouts. The current minimum is displayed in the app
- All payments are processed through Stripe. Obsidia does not directly handle payment card data
- Seller payouts are initiated after delivery is confirmed, the 24-hour inspection window closes, and no dispute is open
- Standard payout timing depends on your Stripe account settings (typically 2–7 business days after release)
5. Disputes & Refunds
Every order on Obsidia is eligible for dispute resolution. Our full Dispute Policy is available separately and governs all dispute proceedings.
- Buyers may open a dispute within 24 hours of delivery confirmation for objective issues: item not received, wrong item/size, or leakage/damage in transit
- Evidence (photos, tracking screenshots) must be submitted at time of opening
- Sellers have a 48-hour window to respond with counter-evidence
- If approved, a refund is issued and the seller receives a strike. If denied, funds are released to the seller
- Disputes not resolved within 72 hours are automatically resolved in the buyer's favor
- We do not arbitrate subjective claims (scent preferences, batch variations, longevity)
6. Prohibited Items & Conduct
- Counterfeit, replica, or "inspired by" fragrances represented as genuine
- Stolen goods or items of unknown/unverifiable origin
- Non-fragrance products, empty bottles, or digital goods
- Off-platform payment solicitation or fee circumvention
- Harassment, abuse, or threatening behavior toward other users
- Submitting false disputes or fabricated evidence
- Creating multiple accounts to evade suspensions or bans
7. Seller Strike System
Approved disputes and policy violations result in strikes against the seller's account:
- Warning — Warning issued — account remains active
- Suspension — Temporary account suspension (7 days)
- Ban — Permanent ban from selling on Obsidia
8. Reviews
After an order is delivered and the inspection window closes, buyers may leave a review for the seller.
- Reviews consist of a 1–5 star rating and an optional text comment
- Reviews must be honest, relevant to the transaction, and free of abusive or defamatory language
- Obsidia may remove reviews that violate these Terms, contain false statements, or are submitted as part of a fraudulent dispute
- Sellers may not offer incentives, threats, or pressure in exchange for favorable reviews
9. Reporting & Blocking
You may report listings, users, or reviews that you believe violate these Terms or our policies.
- Reports are reviewed by our team and handled in accordance with our policies
- Submitting false or malicious reports may result in warning, suspension, or ban of your account
- You may block other users at any time — blocked users will not be able to see your listings or interact with you
- Blocking does not cancel existing orders already in progress
10. Notifications & Communications
By creating an account, you consent to receive push notifications and communications related to your transactions (order updates, shipping alerts, dispute notices). You may manage notification preferences in your account settings.
- Transactional notifications (order status, disputes) cannot be fully disabled while you have active orders
- Marketing and promotional notifications require opt-in and can be disabled at any time
- We may also communicate via email for account-related matters
11. App Updates
Obsidia may require you to update to the latest version of the app to continue using the Platform. Mandatory updates may be enforced when necessary for security, compatibility, or to comply with legal requirements. Continued access to the Platform is contingent on running a supported app version.
12. Identity Verification & Fraud Prevention
All sellers must complete identity verification through Stripe Connect before listing items. You represent and warrant that all information provided — including name, address, identification, and payment details — is true, accurate, and complete.
In the event of suspected misrepresentation, fabricated identity, use of false payment instruments, or other indicia of fraud, Obsidia may withhold or reverse payments, suspend or terminate accounts, and refer matters to law enforcement or payment processors.
13. Intellectual Property
All content, design, and technology on the Platform are owned by Obsidia or its licensors. You retain ownership of content you upload (photos, descriptions) but grant Obsidia a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Platform.
14. Limitation of Liability
Obsidia is a marketplace platform that facilitates transactions between independent buyers and sellers. We are not a party to any transaction and do not take title to any goods.
- The Platform is provided "as is" without warranties of any kind, express or implied
- Obsidia is not liable for the quality, safety, legality, or authenticity of items listed by sellers
- Our total liability to you for any claims arising from your use of the Platform shall not exceed the fees paid by you to Obsidia in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
15. Indemnification
You agree to indemnify and hold harmless Obsidia, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
16. Account Termination
We reserve the right to suspend or terminate accounts at our discretion for violations of these Terms, including but not limited to: fraudulent activity, sale of prohibited items, repeated policy violations, or misuse of the Platform. You may also delete your account at any time through the app settings.
17. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.
- Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be resolved through good-faith negotiation by contacting support@obsidia.app
- If unresolved within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
- Arbitration shall take place in Arizona and be conducted by a single arbitrator. The arbitrator's decision shall be final and binding
- You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding
- Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Arizona for claims involving intellectual property or unauthorized access
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated through the Platform or via email with at least 30 days' notice. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms.
