End User License Agreement

Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Dreamsmith LLC ("Dreamsmith," "we," "us," or "our"), governing your use of the UGen mobile application ("App") and all related services.

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE APP.

1. License Grant

Subject to your compliance with this EULA, Dreamsmith grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on devices you own or control
  • Use the App for personal, non-commercial purposes
  • Access features according to your subscription tier or credit balance

This license does not include the right to:

  • Modify, reverse engineer, or decompile the App
  • Rent, lease, lend, sell, or sublicense the App
  • Use the App for commercial purposes without authorization
  • Remove or alter any proprietary notices

2. Subscription Plans

UGen offers the following auto-renewable subscription options:

WEEKLY SUBSCRIPTIONS:

  • Shimmer Weekly – 1 week duration, includes 3-day free trial
  • Radiance Weekly – 1 week duration
  • Infinite Weekly – 1 week duration, unlimited generations

All subscriptions provide access to the "Pro Access" entitlement, which unlocks premium AI Spells and features.

SUBSCRIPTION TERMS:

  • Payment is charged to your Apple ID account upon confirmation of purchase
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You may manage and cancel subscriptions in your Apple ID Account Settings
  • Any unused portion of a free trial period is forfeited upon purchasing a subscription
  • Prices are in USD and may vary by region; applicable taxes may apply

3. Credit Packs (Magic Dust)

UGen offers one-time purchasable credit packs called "Magic Dust":

AVAILABLE CREDIT PACKS:

  • Pouch of Dust – Small credit pack (5,000 credits)
  • Bucket of Dust – Medium credit pack (15,000 credits)
  • Sleigh of Dust – Large credit pack (50,000 credits)
  • Barrel of Dust – Extra-large credit pack (50,000 credits)

CREDIT TERMS:

  • Credits are consumed when generating AI images or videos
  • Credits are non-refundable and non-transferable
  • Credits have no cash value and cannot be exchanged for currency
  • Unused credits do not expire while your account remains active
  • Credits are tied to your account and cannot be transferred between accounts

4. Free Features vs. Paid Features

FREE FEATURES:

  • Account creation and profile management
  • Browsing the Spell library
  • Limited starter credits for new users
  • Viewing your generation history

PAID FEATURES (Subscription or Credits Required):

  • Generating AI images using Photo Spells
  • Generating AI videos using Video Spells
  • Access to 200+ premium AI Spells
  • Watermark-free exports
  • Priority generation queue (subscribers only)
  • Unlimited generations (Infinite Weekly subscribers only)

All AI generation features require either an active subscription or sufficient Magic Dust credits.

5. Refund Policy

All purchases are processed through the Apple App Store. Refund requests must be submitted directly to Apple:

  • Subscriptions: Contact Apple Support or use reportaproblem.apple.com
  • Credit Packs: Non-refundable except as required by applicable law
  • Free Trial: No charge if cancelled before trial period ends

Dreamsmith does not process refunds directly. Apple's refund policies apply to all transactions.

6. Account Termination

We may suspend or terminate your account if you:

  • Violate this EULA or our Terms of Service
  • Engage in fraudulent, abusive, or illegal activity
  • Create prohibited content (see Acceptable Use Policy)
  • Attempt to circumvent payment or credit systems

Upon termination:

  • Your license to use the App is immediately revoked
  • Unused credits and subscription time are forfeited
  • Your content may be deleted
  • No refunds will be issued for unused portions

7. Intellectual Property

DREAMSMITH OWNERSHIP:

The App, including its design, code, graphics, logos, and AI models, is the exclusive property of Dreamsmith LLC and is protected by intellectual property laws.

USER-GENERATED CONTENT:

  • You retain ownership of original photos you upload
  • You receive a license to use AI-generated content for personal purposes
  • Generated content may not be unique; similar outputs may be created for other users
  • You may not claim exclusive ownership of AI-generated imagery
  • Commercial use of generated content requires a Pro subscription

AI-GENERATED CONTENT DISCLAIMER:

We make no warranties regarding copyright, trademark, or other intellectual property rights in AI-generated content. You are solely responsible for ensuring your use does not infringe third-party rights.

8. Acceptable Use Policy

You agree NOT to use UGen to create content that:

  • Depicts minors in any inappropriate context
  • Contains nudity, pornography, or sexually explicit material
  • Promotes violence, terrorism, self-harm, or illegal activities
  • Is defamatory, harassing, or hateful toward any individual or group
  • Infringes copyrights, trademarks, or publicity rights
  • Impersonates real individuals without consent
  • Contains malware or attempts to compromise security
  • Violates any applicable law or regulation

Violations will result in immediate account termination and may be reported to law enforcement.

9. Privacy

Your use of UGen is subject to our Privacy Policy.

Key data practices:

  • We collect account info, uploaded photos, and usage analytics
  • Photos are processed by third-party AI services (including OpenAI and Google Gemini)
  • We use Firebase for authentication and storage
  • We use RevenueCat for subscription management
  • We do not sell your personal data

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

DREAMSMITH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of AI outputs
  • Uninterrupted or error-free operation
  • Compatibility with your device or operating system

AI-generated content may contain errors, artifacts, or unintended results. You use the App at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DREAMSMITH SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Content generated by the AI system
  • Unauthorized access to your account
  • Service interruptions or downtime
  • Third-party actions or content

MAXIMUM LIABILITY:

Our total liability shall not exceed the greater of: (a) The amount you paid us in the 12 months preceding the claim, or (b) One hundred US dollars ($100).

Some jurisdictions do not permit liability limitations; these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dreamsmith LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use of the App
  • Content you create or upload
  • Your violation of this EULA
  • Your violation of any third-party rights
  • Your violation of applicable laws

13. Governing Law & Disputes

GOVERNING LAW:
This EULA is governed by the laws of the State of Arizona, United States, without regard to conflict of law principles.

DISPUTE RESOLUTION:
Any dispute arising from this EULA shall be resolved through binding arbitration administered by the American Arbitration Association, on an individual basis.

CLASS ACTION WAIVER:
You waive any right to participate in class actions or class arbitrations.

EXCEPTIONS:
Either party may seek injunctive relief in court for intellectual property infringement or confidentiality breaches.

14. Changes to This EULA

We may modify this EULA at any time. Material changes will be communicated through:

  • In-app notifications
  • Email to your registered address
  • Updated "Last Updated" date

Continued use of the App after changes constitutes acceptance. If you disagree with changes, you must stop using the App and cancel any active subscriptions.

15. Severability

If any provision of this EULA is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Dreamsmith LLC regarding the App. It supersedes all prior agreements, understandings, and communications.

18. Apple-Specific Terms

This EULA is between you and Dreamsmith LLC only, not Apple Inc. Apple has no obligation to furnish maintenance or support services. Apple is not responsible for:

  • Product warranties or claims
  • Addressing any user or third-party claims
  • Intellectual property infringement claims
  • Compliance with legal requirements

Apple and its subsidiaries are third-party beneficiaries of this EULA with the right to enforce it against you.

You represent that:

  • You are not located in an embargoed country
  • You are not on any U.S. Government prohibited party list
